David Loh became a  partner of Chu, Ring & Hazel LLP in January 2009. David has over a decade of experience representing and counseling entrepreneurs and VC-backed companies. His experiences include:

  • Advising entrepreneurs and hi/bio tech companies with entity choice and formation, equity incentive plans, intellectual property licensing, equity and debt financing, employee issues, shareholder rights, board matters, mergers, acquisition and sales, and other corporate matters.
  • Drafting, negotiating and executing stock purchase agreements, stockholders agreements, and terms of preferred equity in connection with more than three dozen venture capital transactions, ranging in size ($100,000 to $120 million) and complexity from angel to late stage investments.
  • Drafting, negotiating and executing various documents in connection with multi-national asset sale, a bi-national business combination, a private sale of public securities and a credit restructuring
  • Conducted ten trials and numerous hearings as a bar advocate for indigent defendants in criminal proceedings. Nine of ten trials resulted in acquittals.
  • Directed and crossed all of four expert witnesses in a multi-million dollar tax proceeding in front of the Massachusetts Appellate Tax Board. Result is pending.

David received a B.A. (magna cum laude) in Political Science from University of Massachusetts at Boston in 1993. He received his J.D. from Northeastern University School of Law in 1998. Prior to joining Chu, Ring & Hazel LLP, he maintained an active criminal defense practice while simultaneously representing start-ups and entrepreneurs. He is a former associate of Goodwin Procter LLP, where he practiced in the Private Equity Practice Group of the Corporate Department. He is a member of the Boston Bar Association, the Massachusetts Bar Association and the Asian American Lawyers Association. He is a former member of the Somerville Homeless Coalition and currently sits on the board of directors of the Boston Chinatown Neighborhood Center, Inc.
